AudreyGrey is a legal, tax and professional services firm providing corporate law, tax advisory and compliance, company secretarial, regulatory compliance and strategic advisory services to local and international corporations looking to enter Ghana. Our areas of focus include corporate and commercial law, taxation, labour, immigration, compliance and insolvency law as well as the accounting and finance aspects of these functions. Our team aims to create value for our clients and ensure them a seamless entry into preferred markets while ensuring that they operate at their optimal capacity. Audrey Naa Dei Kotey

Audrey Naa Dei Kotey is the Managing Partner of AudreyGrey PRUC. For more than 17 years, Audrey has been advising clients, including banks, private equity firms, and local and multinational firms, on various aspects of insolvency and corporate restructuring, taxation, and banking and finance. She has experience in other allied areas such as capital market acquisitions, finance raising, and regulatory compliance.

Audrey is a founding member of the Ghana Association of Restructuring and Insolvency Advisors (GARIA) and was active in the passage of the Companies Act, 2019 (Act 992) and the Corporate Insolvency and Restructuring Act, 2020 (Act 1015). She is a licensed insolvency practitioner and a member of the International Association of Restructuring, Insolvency, and Bankruptcy Professionals (INSOL). In recent times, she spearheaded the drafting and preparation of regulations to support the Corporate Insolvency and Restructuring Act. She also holds office as an administrator of a local mining company. Her experience in insolvency goes back to 2005 where she was involved in the liquidation of Ghana Airways Ltd, Plant Pool Ltd, and the Bank for Housing and Construction.

Audrey is a fellow of the Association of Certified Chartered Accountants (ACCA) and a member of the Institute of Chartered Accountants Ghana. She is the immediate past president of the ACCA Global Network Panel. She holds a Bachelor of Law (LLB) from the University of Ghana and a Bachelor of Arts in Psychology and Economics from the same university.

Samuel Alesu-Dordzi

Samuel is a Partner at AudreyGrey. Samuel is also an external compliance author for Lexis Nexis, and a writer and editor for Ghana Law Hub. His focus areas include dispute resolution, restructuring and business rescue, employment law and benefits, intellectual property, criminal law, corruption and anti-money laundering compliance, and insolvency. Samuel also leads the firm’s innovation and thought-leadership program. Samuel is an avid board trainer. His corporate governance, company law, and compliance training sessions often touch on directors’ rights and responsibilities, risk management, sustainable growth, and increasing profitability. Samuel has assisted companies in setting up their legal and regulatory framework and has enabled sustainable growth in the short, medium, and long term. He has wide experience working with local and international entities and has spearheaded the settlement of several corporate disputes. Samuel was also a key person on the committee that drafted the Corporate Insolvency and Restructuring Act, 2020 (Act 1015). Currently, he is working with a team of experts to formulate Regulations for Ghana’s Corporate Insolvency and Restructuring Act, 2020 (Act 1015)

Akua Frimpomaa Safo

Akua Frimpomaa Safo is an Associate at Audrey Grey and regularly advises clients on a wide range of corporate law issues, including employment, taxation, corporate insolvency, immigration law, and insurance law. She has also advised and assisted clients with the legal formalities involved in carrying out assisted reproduction and birth under the Births and Deaths Act, 2020 (Act 1027). She graduated from the University of Ghana with a Bachelor’s Degree in Political Science and Psychology. Additionally, she holds a Bachelor of Laws Degree from the Ghana Institute of Management and Public Administration (GIMPA) and a Qualifying Certificate in Law from the Ghana School of Law. Akua was called to the Ghanaian Bar in November 2022.

Prior to being called to the Bar, she worked with the Academic Quality Assurance Unit of the University of Ghana as well as the Ghana Revenue Authority.

Her favourite quote, by Albert Einstein, is: “Strive not to be a success but rather to be of value.” In her free time, Akua enjoys singing, reading, and exploring new cultures through travel.

Clara Keshia Naa Abeka Mettle-Nunoo

Clara Keshia Naa Abeka Mettle-Nunoo is an associate with Audrey Grey’s disputes team and focuses her practice on complex litigation and disputes spanning a wide area. She has and continues to represent clients in a host of industries, including the hospitality and real estate sectors, pharmaceuticals, and minerals and extractive sectors. Clara has deep insights and working knowledge of the Corporate Insolvency and Restructuring Act, 2020 (Act 1015), and has represented clients in court in respect of the legislation. She appears regularly before the courts (both civil and criminal) and other dispute resolution forums such as the National Labour Commission.

Clara holds a Qualifying Certificate in Law from the Ghana School of Law and a Bachelor of Laws (LLB) from the University of Ghana. She is currently enrolled as a student at the Chartered Institute of Taxation

Before joining Audrey Grey, Clara interned with the Judicial Service of Ghana, where she familiarized herself with the workings of the Ghanaian judicial system. She also interned with a number of Accra-based law firms, where she worked on fintech, intellectual property, data protection, and defamation matters.

Ransford Armah is a Senior Manager with Audrey Grey’s accounting, finance and management consulting practice. In this role, he has helped clients in dealing with the Ghana Revenue Authority, conducted tax health checks for corporate entities and has assisted them to comply with tax obligations under the Revenue Administration Act. Ransford is an experienced chartered accountant with over 13 years’ experience in providing accounting, audit, assurance and business advisory services to clients operating in several industries both locally and internationally. Prior to joining Audrey Greys team, Ransford was a consultant at PricewaterhouseCoopers (Ghana). An experience in which he formed part of the team liquidating the defunct national carrier Ghana Airways Ltd, Plant Pool ltd etc. In this role, he also undertook several forensic investigations, business valuations, independent business reviews and due diligence projects. Ransford was a Senior Manager for Audit and Assurance at A.D & Associates (Chartered Accountants) and the Finance Manager of K-Net Ltd. He is a senior manager at Synergy Management Consulting and has conducted training in Accounting, Audit and Taxation for senior management in various organisations. Ransford has also served as the Manager for Audit Quality and Compliance Monitoring at the Institute of Chartered Accountants (Ghana).

Ransford is a member of the Association of Chartered Certified Accountants (ACCA) the UK and a member of the Institute of Chartered Accountants Ghana (ICAG). He also holds an MSc in Oil and Gas Management from Coventry University and a BSc in Applied Accounting from the Oxford Brookes University (UK). Ransford has extensive experience in accounting, taxation, audit, business restructuring, corporate finance, business planning and oil and gas.

Gideon Gameli Apomah

Gideon Gameli Apomah is an Associate with Audrey Grey’s corporate services. He assists clients with corporate governance, compliance, and regulatory matters. He holds a Bachelor’s Degree in Psychology and Human Resource Development from the University of Ghana, Legon, and is enrolled with the Ghana Investment and Securities Institute.

Gideon has supported the incorporation and governance framework of both international and local companies, along with having a deep understanding of regulatory frameworks. He manages registrations and relationships with the Ghana Investment Promotion Centre (GIPC), the Ghana Revenue Authority (GRA), the Ghana Immigration Service (GIS), and the Minerals Commission.

Gideon has assisted clients with various registrations, work and residence permit applications, tax exemptions, and Tier 1 and Tier 2 issues, among other compliance matters. With a keen eye for detail and a comprehensive understanding of legal requirements, Gideon ensures that businesses adhere to corporate governance standards and meet all compliance obligations, minimizing the risk of incurring avoidable penalties.
